AudioPulse Exclusive Buyout License

This Exclusive Buyout License is for clients who need a track removed from public sale. For standard licensing, see our Standard License.
1. Overview
The Exclusive Buyout License is a custom, individually-negotiated agreement between AudioPulse and a single Licensee for a specific track or set of tracks. Unlike the Standard License, the track is removed from the AudioPulse public catalog upon execution, and AudioPulse will not license the same track to any other party for the duration of this agreement.
This page describes the standard form of the agreement. Final pricing, scope, and any additional restrictions are confirmed in a signed contract delivered by AudioPulse following an inquiry submitted via the Custom Licensing form.
2. Grant of rights
Upon full payment and signature, AudioPulse grants Licensee:
- Exclusive, perpetual, worldwide, royalty-free commercial license to use the delivered audio files in your project(s) and across all media now known or later developed.
- Removal of the track from the AudioPulse public catalog within fourteen (14) days of full payment.
- Written exclusivity guarantee — AudioPulse will not license, sell, distribute, or otherwise make the track available to any third party after delivery.
- AI-assisted music provenance documentation (disclosure certificate) for your own compliance and audit trail under the DDEX AI Disclosure Standard.
3. Catalog removal
AudioPulse will remove the licensed track from public sale on audiopulse.io and from any AudioPulse-controlled distribution surface within fourteen (14) days of full payment. AudioPulse cannot retroactively recall copies previously delivered to Standard License holders under contracts executed before the Exclusive Buyout effective date; any such pre-existing Standard Licenses remain valid for the original Licensee's use only.
4. AI-assisted music — material disclosure
The licensed audio is created using AI-assisted music production tools under valid commercial subscriptions. AudioPulse will provide Licensee with a written provenance certificate identifying the production methodology, prompt category (sonic prompting only — frequency, instrumentation, tempo, key, mood, and structure), and the date of generation. No copyrighted audio, samples, artist references, song references, or imitation prompts are used.
5. Copyright status
Licensee acknowledges that AI-assisted audio may not qualify for copyright protection in jurisdictions that require human authorship, including the United States. AudioPulse grants exclusive licensing rights to use the delivered audio; AudioPulse does not represent that copyright in the underlying audio vests in AudioPulse, Licensee, or any other party, and does not warrant that the audio is registrable with copyright offices, PROs, or fingerprinting systems.
6. Licensee representations
- You will make the AI-assisted music disclosure required by any platform, broadcaster, regulator, or jurisdiction in which the work is used.
- You will not register the underlying audio with copyright offices, PROs, or fingerprinting systems in a way that asserts human-authored ownership of the AI-assisted material.
- You will not use the audio in unlawful, defamatory, hateful, impersonation, or deepfake content.
7. Non-uniqueness disclaimer
Because the underlying production technology is shared infrastructure, AudioPulse cannot guarantee that the delivered audio is unprecedented or that no similar audio exists or will be generated by unrelated third parties using similar tools. AudioPulse's exclusivity guarantee is limited to AudioPulse's own conduct: AudioPulse will not knowingly license, sell, or distribute the same audio file to any other party.
8. Payment & delivery
Fees are agreed in writing prior to delivery. AudioPulse delivers final audio files (and any agreed stems) within ten (10) business days of cleared payment. Catalog removal is initiated immediately upon payment confirmation.
9. Withdrawal right (EU/EEA)
Because this is a custom, individually-negotiated digital deliverable made to Licensee's specification, the statutory 14-day right of withdrawal under EU Directive 2011/83/EU does not apply once production and delivery have commenced. Licensee will be asked to expressly consent to this waiver in writing before delivery.
10. Liability
AudioPulse's aggregate liability under this license is limited to the fees actually paid by Licensee for the licensed audio. AudioPulse is not liable for indirect, consequential, special, incidental, or punitive damages, including loss of profits, takedowns, content claims, or business interruption.
11. Term & termination
This license is perpetual and irrevocable, subject to Licensee's compliance with the representations in Section 6. Material breach by Licensee permits AudioPulse to terminate the exclusivity portion of the agreement on written notice; the audio license itself survives termination.
12. Governing law & disputes
This license is governed by the laws of Denmark. The parties will attempt to resolve disputes in good faith before initiating proceedings. Danish consumers may file complaints with Forbrugerklagenævnet; EU consumers may use the EU Online Dispute Resolution platform.
13. Entire agreement
The signed Exclusive Buyout License contract delivered by AudioPulse, together with any annexes identifying the licensed audio, constitutes the entire agreement between the parties and supersedes any prior discussion, quote, or proposal.
