AudioPulse Standard Project License

Version 2.0 — Effective date: 23 July 2026

Business-drafted license template. Pending final professional legal review prior to public commerce launch.

1. Definitions

"Recording" means the specific AudioPulse audio recording identified in the customer's order.

"Named Project" means the single, specifically identified customer production — for example one film, one episode, one game, one advertising campaign, one podcast series, one channel or one branded content project — named at the time the license is purchased or approved.

"Licensee" means the individual or organisation named in the order.

2. License grant

Upon full payment of the applicable fee, AudioPulse grants the Licensee a non-exclusive, worldwide, perpetual license to synchronize, reproduce, distribute, publicly perform and display the Recording solely as part of one Named Project.

The license is perpetual for that Named Project — the completed Named Project may continue to be distributed, monetized and exhibited indefinitely, subject to the Licensee's continued compliance with these terms.

The Recording is non-exclusive: AudioPulse may license the same Recording to other customers for their own separate projects.

3. Permitted uses

Subject to the license grant above, the Recording may be synchronized into the Named Project and the completed Named Project may be distributed and monetized across contexts such as:

  • Film and video
  • Games
  • Podcasts
  • Advertising and branded content
  • Websites and social media
  • Streaming platforms as part of the licensed project

These examples do not extend the license beyond the single Named Project defined in Section 2.

4. Prohibited uses

The Licensee may not:

  • Standalone resale or redistribution of the audio.
  • Uploading the recording as a music release.
  • Registering the recording in Content ID or equivalent systems.
  • Claiming authorship or ownership of the recording.
  • Sublicensing the recording as stock or library music.
  • Including the recording in templates where users can extract it.
  • AI training, dataset creation or model development.
  • Unlawful, fraudulent or defamatory use.

5. Editing

Reasonable synchronization edits are permitted within the Named Project, including cutting, fading, timing adjustments, volume changes and looping.

Editing the Recording does not transfer ownership of the underlying audio and does not create a separately distributable music work. Edits remain part of the licensed Named Project.

6. Ownership and rights

AudioPulse licenses only the rights it holds or is authorized to license in the Recording. No copyright ownership, authorship or ownership of an underlying musical composition is transferred under this Standard License.

The Licensee may hold copyright and other rights in its own Named Project without acquiring ownership of the standalone Recording.

7. AI-assisted production

AudioPulse music is produced using AI-assisted tools under commercial subscription terms, together with human creative direction, selection, editing, arrangement and mastering.

AI-assisted audio may not qualify for copyright protection in all jurisdictions and may not be globally unique. AudioPulse does not guarantee copyright registration, musical uniqueness, or that no similar material exists or will be created independently.

The Licensee is responsible for complying with any applicable legal, broadcaster, distributor or platform-specific disclosure requirements that may apply to AI-assisted content.

8. Additional projects

Each additional unrelated project requires a separate license, unless custom written terms provided by AudioPulse expressly state otherwise.

9. Custom terms and exclusivity

Extended use, exclusivity, competitor restrictions, catalogue removal, multi-project rights and other special conditions require a separately agreed written arrangement.

Exclusive recording requests are handled individually, subject to availability, rights review and a separately signed agreement. Exclusivity does not begin, and copyright is not transferred, unless expressly stated in that signed agreement.

10. Liability and consumer rights

AudioPulse's total liability under this license is limited to the amount the Licensee paid for the license. AudioPulse is not liable for indirect, consequential or special damages, including loss of profits, takedowns, content claims or business interruption.

Nothing in this license excludes or limits liability or consumer rights that cannot lawfully be excluded or limited under applicable law.

11. Governing law

This license is governed by the laws of Denmark. Danish governing law does not automatically remove mandatory rights available to consumers in other applicable jurisdictions.
